Terms of Service
The terms that govern access to and use of the Relay service.
Effective and last updated September 21, 2026
Agreement and eligibility
These Terms of Service govern your access to and use of Relay, including the websites and service available at rela-y.com and app.rela-y.com. By creating an account, joining a workspace, or using Relay, you agree to these Terms.
You must be legally able to enter into a contract and at least 18 years old, or the age of majority where you live. If you use Relay for an organization, you represent that you have authority to accept these Terms for that organization. In that case, “you” includes the organization.
Accounts and workspaces
Provide accurate account information and keep your credentials secure. You are responsible for activity under your account and for managing who can access your workspace. Tell us promptly at hello@rela-y.com if you suspect unauthorized access.
Workspace owners and administrators are responsible for invitations, roles, billing choices, and their organization’s use of Relay. Do not share credentials or use another person’s account without permission.
Your content
You and your organization retain ownership of information, files, messages, project records, and other content submitted to Relay (“Customer Content”). You give Relay a limited, non-exclusive license to host, copy, transmit, display, and otherwise process Customer Content only as needed to provide, secure, maintain, and support the service and to comply with law.
You are responsible for Customer Content and must have the rights and permissions needed to provide it to Relay. You control what you place in a workspace and who you invite to access it.
Relay and feedback
Relay owns the service, software, design, documentation, trademarks, and related intellectual property, excluding Customer Content. These Terms give you a limited, non-exclusive, non-transferable right to use Relay while your account is authorized and active. They do not transfer ownership of Relay to you.
If you send suggestions or feedback, you allow us to use it without restriction or compensation. We will not treat feedback as confidential unless we separately agree in writing.
Acceptable use
You may not use Relay to:
- break the law, violate another person’s rights, or submit unlawful content;
- send spam, malware, or harmful code, or conduct phishing or fraud;
- probe, disrupt, overload, or bypass security or access controls;
- access accounts, data, or systems without authorization;
- reverse engineer or copy the service except where applicable law permits it; or
- resell or provide Relay as a service bureau without our written permission.
We may investigate suspected abuse and cooperate with lawful requests. Reasonable use of Relay’s normal collaboration features is not prohibited by this section.
Trial, subscriptions, and automatic renewal
Relay is free for solo use. Adding your first teammate starts a free 14-day Team trial, and no credit card is required to begin. If you start a paid subscription after the trial, it renews automatically at the end of each monthly or annual billing period using the payment method on file unless you cancel.
Before starting a paid subscription, Relay will show the price, billing cadence, and renewal terms. You authorize recurring charges for the subscription and applicable taxes until cancellation. You can manage or cancel a paid subscription through Billing. To avoid the next renewal charge, cancel before the renewal date.
Launch pricing and price changes
Relay may offer launch pricing to eligible accounts. An account that starts within the launch period publicly stated by Relay keeps its eligible launch rate while that account remains active, subject to the plan terms and paid-seat quantity. Standard pricing may apply to accounts that start after the launch period or to an account that ends and later restarts.
We may change standard prices or introduce new plans. If a change affects an existing paid subscription, we will provide notice when required and explain when it takes effect. Promotional or launch eligibility does not waive taxes or charges for added paid seats.
Paid seats and workspace capacity
Relay subscriptions are billed per paid seat. Accepted internal owner, administrator, and member seats count as paid seats. Pending invitations and guest seats do not count as paid seats.
If accepted internal members exceed purchased capacity, Relay may automatically add the paid seat or seats required for the active workspace. Seat increases may be prorated for the remainder of the current billing period.
Removing an internal member frees capacity but does not automatically reduce the current paid-seat quantity or create a refund or credit. Owners and administrators may schedule a lower paid-seat quantity for the next renewal, but never below the number of active internal members at that time.
Billing changes, cancellation, and refunds
Monthly and annual cadence changes are handled through Billing and Stripe. A change may apply immediately or at the next renewal, as shown to you at the time of the change.
Cancellation takes effect at the end of the current paid period. You may continue using the paid service through that period. Charges are generally non-refundable and we do not provide credits for partial periods, unused time, or removed seats, except where required by law or expressly stated by Relay.
Payments and taxes
Stripe processes subscription payments on Relay’s behalf. Relay does not receive or store your full payment-card number. Stripe’s terms and privacy practices apply to its payment processing services.
Prices do not include taxes unless stated otherwise. You are responsible for applicable sales, use, value-added, withholding, or similar taxes, except taxes based on Relay’s net income. You must keep billing details and your payment method current.
Third-party services
Relay may rely on or allow connections with third-party services, including hosting, communications, authentication, and payment providers. Those services may have their own terms and privacy policies. Relay is not responsible for third-party services outside our control, and we do not guarantee that an optional integration will remain available.
Service availability and changes
We work to keep Relay available, but the service may be interrupted, delayed, or changed. We may add, modify, or discontinue features. Where a material change adversely affects a paid subscription, we will provide notice when reasonably practical. We do not promise that every feature will always be available or error-free.
Suspension, termination, and data
You may stop using Relay at any time. We may suspend or terminate access for material breach, nonpayment, security risk, unlawful use, or harm to Relay or others. When practical, we will give notice and an opportunity to cure before terminating for breach.
After termination or account deletion, access to Customer Content may end. Export options may be limited to features available in the service at that time. We may retain data for a limited period for backups, security, fraud prevention, dispute resolution, and legal obligations, then delete or de-identify it according to our retention practices. Keep your own copies of content you need.
Disclaimers
To the fullest extent permitted by law, Relay is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment. We do not warrant uninterrupted or error-free operation, that Customer Content will never be lost, or that Relay will meet every requirement. Some jurisdictions do not allow certain disclaimers, so these limits may not apply to you.
Limitation of liability
To the fullest extent permitted by law, Relay and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised that such damages are possible.
Relay’s total liability arising out of or relating to the service or these Terms will not exceed the fees you paid to Relay for the service during the 12 months before the event giving rise to the claim. These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited.
Indemnity
If you use Relay for an organization, that organization will defend and indemnify Relay from third-party claims, damages, and reasonable costs arising from its Customer Content, unlawful use of Relay, or material violation of these Terms, except to the extent caused by Relay’s own breach or misconduct. Relay will provide prompt notice and reasonable cooperation, and the organization may control the defense subject to Relay’s right to participate.
Governing law and disputes
California law governs these Terms, without regard to conflict-of-law rules. Any dispute arising from these Terms or Relay will be brought in the state or federal courts located in Los Angeles County, California, and each party consents to their jurisdiction and venue. Nothing in these Terms prevents either party from seeking appropriate injunctive relief.
Changes and contact
We may update these Terms. We will post the updated version here and revise the date above. If a change is material, we will provide additional notice when required. Your continued use after the effective date means you accept the updated Terms.
These Terms, together with any order or supplemental terms you accept, are the entire agreement about Relay. If one provision is unenforceable, the others remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Relay may assign them as part of a reorganization or transfer of the service.
Questions about these Terms may be sent to hello@rela-y.com.
